nexos.ai Raffle terms and conditions

These terms and conditions of nexos.ai Inc., principal office at Švitrigailos g. 36, LT-03230 Vilnius ("we”, “our” or “nexos.ai”) raffle (“Raffle”), (“Terms”) are between nexos.ai and any person that following these Terms is eligible to enter and enters the Raffle (“you” or “Person”). Person and nexos.ai are hereinafter together referred to as the “parties”.Terms govern the Raffle that will grant Persons an opportunity to win the prize described in these Terms. The Raffle will take place at the Gartner 2025 EMEA IT Symposium/Xpo™ (“Event”) on November 10 - 13, 2025. Terms will be available to any person upon request to nexos.ai representatives at the nexos.ai booth in the Event (“Booth”).

How to enter the Raffle

To enter the Raffle a Person:
  • shall be any organization, represented by any legal representative (of at least 18 years old); OR any person (of at least 18 years old) acting in its professional interests (not a consumer in light of this Raffle and these Terms);
  • shall not be an exhibitor/sponsor at the Event;
  • read these Terms; AND
  • if accepts to be bound by these Terms, express such acceptance by letting his/her badge be scanned at the Booth and being marked as a “Participant of the Raffle”.

Registration will be available at the Booth from 10:45AM (CET), November 10, 2025, to 4PM (CET), May 12, 2025 (“End of the Raffle”).

Entering the Raffle by any ineligible or unlawful means shall be anytime considered void, and not grant a Person a right to win a prize.

Prize

The prizes for this Raffle are one (1) LEGO set and one (1) pair of Bose Headphones. Each prize will be awarded to a separate winner as determined in the Winner Selection process.

nexos.ai provides the prizes “as is,” without any warranties of any kind, whether express or implied, and does not guarantee that the prizes will meet any particular expectations, requirements, or purposes, or that they will be free from defects. Upon receipt of the prize, any use or possession of the prize shall be at the sole discretion and risk of the winner. The winner agrees to hold nexos.ai, its parents, subsidiaries, affiliates, employees, representatives, officers, and directors harmless from and against any and all liability, claims, or damages arising out of or related to the use, misuse, or possession of the prize.

Winner selection

Soon after the end of the Raffle, two winners will be randomly drawn and announced at the Booth. To be eligible to claim a prize, each selected winner must be physically present at the Booth at the time of the announcement.

If a selected winner is not present when announced, another entrant will be randomly selected until both prizes are awarded to winners who are present at the Booth.

nexos.ai is not responsible for any missed announcements or the inability of participants to be present at the Booth at the time of the drawing.

General conditions

fraud or other factor beyond nexos.ai’s reasonable control impairs the integrity or proper functioning of the Raffle, as determined by nexos.ai in its sole discretion. In such an event, nexos.ai reserves the right to award the prize at random from among eligible entries received up to the time of the impairment. nexos.ai reserves the right, in its sole discretion to disqualify any individual, without compensation, it finds to be tampering with the entry process or the operation of the Raffle or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Raffle may be a violation of criminal and civil law, and, should such an attempt be made, nexos.ai reserves the right to seek damages from any such person to the fullest extent permitted by law. nexos.ai’s failure to enforce any term of these Terms shall not constitute a waiver of that provision.

Privacy

When you provide your Badge to be scanned by our representatives at the Event, you share your personal data with nexos.ai. From the lead scanning app, nexos.ai collects and processes the following contact and professional data: full name, company name, job title, email address, address and phone number.

We will use this information in order to (i) manage your participation in the Raffle, randomly select the winner of the Raffle, announce and/or notify the winner and hand-out the prize to such winner, and (ii) send you offers, surveys and other marketing content (in line with applicable law).

Please note that by entering the Raffle, you understand that the winner and/or the name of its representative will be announced publicly at the Event.

Limitation of liability

NEITHER nexos.ai NOR ANY OF ITS PARENTS, SUBSIDIARIES OR AFFILIATES, NOR ANY OF THEIR EMPLOYEES, REPRESENTATIVES, OFFICERS OR DIRECTORS, SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO THESE TERMS, PARTICIPATION IN THE RAFFLE OR THE PRIZE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAWS, IN ANY CASE, THE LIABILITY OF nexos.ai SHALL NOT EXCEED THE PRICE OF THE GAMING CONSOLE SELECTED BY nexos.ai TO BE A PRIZE OF THIS RAFFLE AND SHALL NOT INCLUDE ATTORNEY FEES OR COURT COSTS.

If for any reason any person’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, the person’s sole remedy is another entry into the Raffle until the End of the Raffle.

Disputes

The parties shall endeavor in good faith to resolve any dispute, claim, controversy, or disagreement relating to or arising out of these Terms, or the subject matter of these Terms (“Dispute”), by negotiation. Any Dispute which remains unresolved 30 (thirty) days after either party gives written notice of the existence of such Dispute, may be referred for final resolution by the competent courts of England and Wales in London, United Kingdom. The proceedings shall be held in the English language. The parties agree that these Terms will be governed by the laws of England and Wales.

Where permitted under the applicable law, class action lawsuits, class-wide arbitrations, private attorney-general actions, and any other proceeding where someone acts in such a representative capacity are not allowed. Unless both a Person and nexos.ai agree, no arbitrator or judge may consolidate more than one Person’s claims or otherwise preside over any form of a representative or class proceeding.
